Terms of Service
These terms govern your use of the SkyRaise website and investor-outreach service, provided by Northstar Intelligent Systems Ltd. (“SkyRaise,” “we,” “us”). By using our service you agree to these terms.
1. The service
SkyRaise is a managed investor-outreach service. We research relevant investors, prepare and send outreach in your voice from our own sending infrastructure, and report on results. The specific deliverables of your plan are described at checkout and on your invoice.
2. Eligibility
You must be at least 18 and authorized to act for the company you represent. You are responsible for the accuracy of the information you provide.
3. Fees & billing
- Plans are billed as a flat monthly fee, with no percentage of, or commission on, any capital you raise.
- Fees are charged in advance each month through our payment provider and are non-refundable except where required by law.
- You may cancel at any time; cancellation takes effect at the end of the current billing month.
4. No guarantee of funding
We guarantee the quality and delivery of the outreach we control — such as emails sent, deliverability, and reported metrics — and, where stated, will continue work until agreed thresholds are met. We do not guarantee that you will raise capital, secure meetings, or achieve any particular outcome. Investment outcomes depend on your readiness, traction, market conditions, and investor appetite.
5. Your content & approvals
You grant us a limited license to use the materials you provide (deck, company details, messaging) solely to deliver the service. You are responsible for the accuracy and legality of your materials, and you approve outreach content before it is sent.
6. Acceptable use
- You will not use the service to send unlawful, misleading, or fraudulent communications.
- You will comply with applicable laws including CAN-SPAM, GDPR, and CCPA.
- You will not resell or misuse investor contact data provided through the service.
7. Brand & sending infrastructure
Outreach is sent from isolated domains and mailboxes we operate, not your primary domain. You retain ownership of the investor contacts, replies, and pipeline generated for your campaign.
8. Intellectual property
The SkyRaise website, software, and materials are owned by us or our licensors. You retain ownership of your own content. No rights are granted except as needed to use the service.
9. Third-party platforms
The service may involve third-party platforms (email providers, VC submission portals, payment processors). Their terms apply to their services, and we are not responsible for their availability or actions.
10. Disclaimers
The service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.
11. Limitation of liability
To the fullest extent permitted by law, our total liability for any claim relating to the service is limited to the fees you paid us in the three months before the claim. We are not liable for indirect, incidental, or consequential damages, including lost fundraising or profits.
12. Indemnification
You agree to indemnify us against claims arising from your materials, your breach of these terms, or your misuse of the service.
13. Termination
Either party may end the engagement at the close of a billing month. We may suspend or terminate the service immediately for breach of these terms or unlawful use.
14. Governing law
These terms are governed by the laws of England and Wales, United Kingdom, where Northstar Intelligent Systems Ltd. is established. For customers in the United States, applicable US federal and state laws also apply. Disputes will be resolved in the courts of the applicable jurisdiction.
15. Changes
We may update these terms from time to time. We will post the updated version here and revise the “last updated” date. Continued use after changes means you accept them.
